GENERAL
AGREEMENT TERMS AND CONDITIONS FOR THE SUPPLY BY EU WINGS S.R.L. OF ONLINE
TRAINING ACTIVITIES FOR EXTERNAL PROFESSIONALS
0.
GENERAL INFORMATION
0.1 These General Terms and
Conditions apply to the relationship between EU WINGS s.r.l. (hereinafter EUW)
and the external professionals (hereinafter participants) with regard to the
training service offered and handled by said Company, without prejudice to any
special conditions agreed between the same Parties in written form.
0.2 By means of finalising
the agreement, these General Terms and Conditions are understood to be accepted
without prejudice to explicit waivers or additions formally emerging from the
same contractual documents.
1. ON-LINE ENROLMENT
1.1 Enrolment on the course
concerned must be made following the indications provided in the programme,
published on the website https://www.click2learn.it/exlms/ in the section "How
to register".
1.2 The agreement will be
understood as finalised, and therefore effective and binding between the
parties, when the participant has concluded the on-line course enrolment
procedure. EUW will confirm to the course participant their participation by
means of sending an e-mail to the e-mail account of the same indicated at the
time of enrolment.
1.3 In the event of
residential and blended (mixed) courses, the enrolment must be made by the
eighth calendar day prior to the start date of the course. EUW, under
exceptional circumstances, reserves itself the faculty to accept late enrolment
applications; in this case Article 4.1.3 will apply.
1.4 The on-line enrolment on
the course involves the acceptance of these Terms and Conditions as well as of
all the formalities and the clauses disciplining the performance of the
training activities.
1.5 The customer undertakes
to promptly inform EUW, using the e-mail account training@euwings.it, of any changes to the
information included during the enrolment stage which should take place during
participation and until the conclusion of the training event.
2. PAYMENT
2.1 Payment of the enrolment
fee for the courses will have to be made using the platform https://www.click2learn.it/exlms/ and PayPal Service
associated to it. If the customer is a Body/Company, registration can also be
made through a written order to be sent to training@euwings.it; EUW will communicate the
payment details and the advance payment is a necessary condition for enabling
access / participation in the courses.
3. RT (Remote Training -
FAD) COURSES: ACCESS TO THE E-LEARNING PLATFORM
3.1 Authorisation to access
the RT courses will be subsequent and consequent to:
a) confirmation of the transaction
by PayPal
b) course subscription
through the appropriate form (e-commerce / orders panel)
3.2 With regard to the Body
or Company which intends to avail itself of the possibility of enrolment by
written order, authorisation to access the RT courses will be given within 7 working
days of receipt of the receipt copy of the order, or, in any case, after
crediting of the amount due to the EUW bank account / PayPal wallet.
4. WITHDRAWAL-RECOVERY
4.1 Synchronous and
Blended courses
4.1.1 The right to withdraw can
be exercised up until the eighth calendar day prior to the start date of the Synchronous
or Blended course by means of forwarding a specific communication via fax to
the account training@euwings.it; at the same time, the
party concerned may request the return of the amount already paid over using
the facsimile present on the website https://www.click2learn.it/exlms/ in the section "Withdrawal
form".
4.1.2 In the event that the
withdrawal is exercised after the deadline envisaged in point 4.1.1 or the
party concerned does not exercise the same and does not participate in the
training event, EUW will not initiate the reimbursement request or, in any
event, the amount, if not yet paid, will in any event have to be paid in full.
4.1.3 In the event of enrolment
applications which have been received after the deadline as per point 1.3 and
possibly accepted by EUW, the participant will not have either the right to
withdraw or the right to the reimbursement of that paid over.
4.1.4 The substitution of the
name of one or more individuals enrolled is always possible.
4.2 E-learning courses
4.2.1 The right to withdrawal
and simultaneous request for reimbursement of that already paid over or,
alternatively, the substitution of the name of one or more individuals
enrolled, can only be exercised if no access has been made to the digital
content of the course (with regard to digital content of the course, see the
training programme). The fruition of the service, even partial, or the access
to the e-learning platform with the launch of even just one didactic session
will not provide the right to exercise withdrawal and obtain the simultaneous
reimbursement or the substitution of the name of one or more individuals
enrolled.
4.2.2 The right to withdraw can
be exercised by means of forwarding a specific communication via fax to the
account training@euwings.it; at the same time, if the
conditions in point 4.2.1 are met, the party concerned may request the return
of the amount already paid over using the facsimile present on the website https://www.click2learn.it/exlms/ in the section "Withdrawal
form".
4.2.3 The substitution of the
name of one or more individuals enrolled is always possible.
5. PROGRAMME CHANGES
5.1 EUW reserves itself the
faculty to postpone or cancel the synchronous or blended scheduled course
providing prompt communication to those concerned, in any event by the fifth
calendar day prior to the start date of the course, using the e-mail account
indicated by the same, under their responsibility, during the enrolment stage.
In the event of cancellation of the course, EUW will take steps to fully repay
the amount already received, with the exclusion of any additional charges
and/or obligations.
5.2 EUW also reserves itself
the faculty to change the programme and/or the venue of the course and/or
replace the trainers, in observance of the training objectives declared in the
programme.
6. FORCE MAJEURE
6.1 EUW will not be liable
for its failure to, late, inexact fulfilment in relation to the obligations
envisaged if the same derives from unforeseeable circumstances, force majeure
or another event not attributable to EUW.
6.2 For the purposes of this
clause, and without the listing offered here be able to be considered complete,
a "Force Majeure Event" will be inclusive of natural calamities,
fires, floods, war (declared or undeclared), civil uprisings, revolts,
embargoes, sabotage, accidents, trade union disputes, strikes, measures of any
public or governmental authority, including therein applicable laws, orders,
provisions or regulations.
6.3 In the cases as per the
previous point, EUW will inform the participant on occurrence of said event and
its effects on their possibility of initiating the contractual terms, provided
that said obligations have been fulfilled, if still possible, immediately the
Force Majeure Event has ceased.
7. END-OF-COURSE CERTIFICATES
7.1 The Participants will be
issued with a Certificate of Attendance or a Certificate of Achievement in PDF
format, available on conclusion of the activities on the e-learning platform or
sent via email using the e-mail account indicated by the participant, under
their responsibility, during the enrolment stage.
7.2 The issue of the
certificate will take place under the conditions contained in the page "Certificates",
to which reference is made, published on the website https://www.click2learn.it/exlms/ in the section “Policies”.
8. DATA PROTECTION (Reg.
UE 2016/679)
8.1 The information is
available in the document “Privacy Policy” section of the site.
9. PROTECTION OF HEALTH
AND SAFETY IN THE WORKPLACES
9.1 EUW, during the
performance of its activities and services, applies and complies with all the
requirements and obligations envisaged with regard to the health and safety of
the workers in accordance with Italian Legislative Decree No. 81/2008 and
subsequent amendments and additions.
10. JURISDICTION
10.1 These General Terms and
Conditions are disciplined by Italian law and will have to be interpreted in
accordance with said law.
10.2 Any dispute which may arise between the parties with regard to
application, interpretation, execution and termination of these General
Agreement Terms and Conditions shall be submitted for the exclusive
jurisdiction of the Verone Court.

INFORMAZIONI GENERALI
0.1 Le presenti Condizioni Generali si
applicano al rapporto in essere tra EU WINGS s.r.l. (di seguito “EUW”) e i
professionisti esterni (di seguito “partecipante”) per quanto concerne il
servizio di formazione offerto e gestito dallo stesso Società, fatte salve
eventuali condizioni particolari convenute tra le stesse parti in forma
scritta.
0.2 Con la conclusione del contratto
s’intendono accettate le presenti Condizioni Generali salve esplicite deroghe o
integrazioni formalmente risultanti dai medesimi documenti contrattuali.
1. ISCRIZIONE ONLINE
1.1 L’iscrizione al corso di interesse deve
essere effettuata seguendo le indicazioni riportate nel programma, pubblicato
nel sito https://www.click2learn.it/exlms/ alla sezione “Modalità di iscrizione (“How to register”)”.
1.2 Il contratto si intenderà concluso, e
quindi efficace e vincolante tra le parti, nel momento in cui il partecipante
avrà concluso la procedura di iscrizione online al corso.
1.3 Nel caso di corsi sincroni e “blended”
(misti), l’iscrizione deve essere effettuata entro l’ottavo giorno solare
precedente la data di inizio del corso. EUW, in casi eccezionali, si riserva la
facoltà di accettare domande di iscrizione tardive; in tal caso troverà
applicazione l’art. 4.1.3.
1.4 L’iscrizione online al corso comporta
l’accettazione delle presenti Condizioni nonché di tutte le modalità e le
clausole disciplinanti lo svolgimento dell’attività formativa.
1.5 Il cliente si impegna a comunicare
tempestivamente ad EUW, all’indirizzo e-mail training@euwings.it, eventuali variazioni dei dati inseriti in fase di iscrizione che si
verifichino durante la partecipazione e fino alla conclusione dell’evento
formativo.
2. PAGAMENTO
2.1 Il pagamento della quota di iscrizione ai
corsi dovrà essere effettuato tramite la piattaforma https://www.click2learn.it/exlms/ e il circuito PayPal ad essa integrato. Qualora il cliente sia un Ente/Società,
l’iscrizione potrà avvenire anche tramite ordine scritto da inviare a training@euwings.it; EUW
comunicherà i dettagli per il pagamento che sarà condizione necessaria per l’abilitazione
all’accesso/partecipazione ai corsi.
3. CORSI FAD (Formazione a Distanza): ACCESSO ALLA PIATTAFORMA E-LEARNING
3.1 L’abilitazione all’accesso ai corsi FAD
sarà successiva e conseguente a:
1. conferma dell'avvenuta transazione da parte di PayPal.
2. iscrizione del proprio utente o di altri profili tramite apposito form
(pannello e-commerce)
3.2 Per l’Ente/Società che intenda avvalersi
della possibilità di iscrizione tramite ordine scritto, l’abilitazione
all’accesso ai corsi FAD sarà effettuata entro 7 giorni lavorativi dal
ricevimento della copia dell'ordine e in ogni caso ad avvenuto accredito
dell’importo dovuto sul conto corrente bancario / portafoglio PayPal di EUW.
4. RECESSO-RECUPERO
4.1 Corsi sincroni e corsi “blended” (misti)
4.1.1 Il diritto di recesso può essere
esercitato fino all’ottavo giorno solare precedente la data di inizio del corso
sincrono mediante inoltro di apposita comunicazione via e-mail all’indirizzo training@euwings.it;
contestualmente l’interessato potrà richiedere la restituzione di quanto già
versato utilizzando il facsimile presente nel sito internet https://www.click2learn.it/exlms/ alla sezione “Modulo di recesso (“Withdrawal form”)”.
4.1.2 Nel caso in cui il recesso venga
esercitato oltre il termine previsto al punto 4.1.1 ovvero l’interessato non lo
eserciti e non partecipi all’evento formativo, EUW non darà corso ad alcuna
richiesta di rimborso o, comunque, l’importo, se non ancora versato, dovrà
essere comunque corrisposto integralmente.
4.1.3 Nel caso di domande di iscrizione
pervenute oltre il termine di cui al punto 1.3 ed eventualmente accettate da
EUW, l’iscritto non avrà né il diritto di recedere né il diritto al rimborso di
quanto versato.
4.1.4 È sempre possibile la sostituzione del
nominativo di uno o più iscritti.
4.2 Corsi e-learning
4.2.1 Il diritto di recesso e la contestuale
richiesta di restituzione di quanto già versato o, in alternativa, la
sostituzione del nominativo di uno o più iscritti, può essere esercitato solo
se non si è effettuato alcun accesso al contenuto digitale del corso (per il
contenuto digitale del corso vedasi il programma formativo). La fruizione del
servizio, anche parziale, ovvero l’accesso alla piattaforma e-learning con
avvio anche di una sola sessione didattica non darà diritto ad esercitare il
recesso e ottenere il contestuale rimborso o alla sostituzione del nominativo
di uno o più iscritti.
4.2.2 Il diritto di recesso deve essere
esercitato mediante inoltro di apposita comunicazione via e-mail all’indirizzo training@euwings.it;
contestualmente, se sussistono le condizioni riportate al punto 4.2.1, l’interessato
potrà richiedere, la restituzione di quanto già versato utilizzando il
facsimile presente nel sito internet https://www.click2learn.it/exlms/ alla sezione “Modulo di recesso (“Withdrawal form”)”.
4.2.3 È sempre possibile la sostituzione del
nominativo di uno o più iscritti.
5. VARIAZIONI DI PROGRAMMA
5.1 EUW si riserva la facoltà di rinviare o
annullare un corso sincrono o “blended” (misto) programmato dandone
tempestiva comunicazione agli interessati, comunque entro il quinto giorno
solare precedente la data di inizio del corso, all’indirizzo di posta elettronica
da questi indicati, sotto la propria responsabilità, in fase di iscrizione. Nel
caso di annullamento del corso, EUW provvederà all’integrale rimborso
dell’importo già eventualmente ricevuto, con esclusione di ulteriori oneri e/o
obblighi. Il partecipante che non abbia ancora provveduto a pagare la quota di
iscrizione non sarà tenuto al versamento.
5.2 EUW si riserva, altresì, la facoltà di
modificare il programma e/o la sede del corso e/o di sostituire i docenti, nel
rispetto degli obiettivi formativi dichiarati nel programma.
6. FORZA MAGGIORE
6.1 EUW non sarà responsabile del proprio
mancato, ritardato, inesatto adempimento in relazione alle obbligazioni
previste qualora lo stesso sia derivante da caso fortuito, cause di forza
maggiore o altro evento non imputabile ad EUW.
6.2 Per gli effetti di questa clausola, e
senza che l’elencazione qui offerta possa considerarsi esaustiva, un “Evento di
Forza Maggiore” sarà comprensivo di calamità naturali, incendi, inondazioni,
guerre (dichiarate o non dichiarate), insurrezioni civili, sommosse, embarghi,
sabotaggi, incidenti, vertenze sindacali, scioperi, provvedimenti di qualsiasi
autorità pubblica o governativa, ivi incluse leggi, ordinanze, norme e
regolamenti applicabili.
6.3 Nei casi di cui al comma precedente, EUW informerà
l’utente del verificarsi di tale evento e dei suoi effetti sulla sua
possibilità di dar corso alle pattuizioni contrattuali, fermo restando che
dette obbligazioni verranno adempiute, se ancora possibile, immediatamente
venuto meno l’Evento di Forza Maggiore.
7. ATTESTATI DI FINE CORSO
7.1 Ai partecipanti verrà rilasciato un
attestato di partecipazione (Certificate of Attendance) o di superamento
del corso (Certificate of Achievement) in formato PDF, disponibile al
termine delle attività nella piattaforma e-learning o inviato tramite e-mail all’indirizzo
di posta elettronica indicati dal partecipante, sotto la propria
responsabilità, in fase di iscrizione.
7.2 Il rilascio degli attestati avverrà alle
condizioni contenute nella pagina “Certificati”, cui si rinvia, pubblicato nel https://www.click2learn.it/exlms/ alla sezione “Politiche” (“Policies”).
8. TUTELA DELLA PRIVACY (art. 13 Reg. UE 2016/679)
8.1 l'informativa è disponibile nella sezione “Politiche
della Privacy” (“Privacy policy”) attive del sito.
9. TUTELA DELLA SALUTE E DELLA SICUREZZA NEI LUOGHI DI LAVORO
9.1 EUW, nello svolgimento della propria
attività e servizi, applica e ottempera a tutte le prescrizioni e obblighi
previsti in materia di sicurezza e salute dei lavoratori ai sensi Decreto
Legislativo n. 81/2008 e s.m.i.
10. FORO COMPETENTE
10.1 Le presenti Condizioni Generali sono
regolate dalla legge italiana e dovranno essere interpretate ai sensi di tale
legge.
10.2 Qualsiasi controversia dovesse insorgere
fra le parti in ordine all’applicazione, interpretazione, esecuzione e
cessazione delle presenti Condizioni Generali di Contratto sarà devoluta alla
competenza esclusiva del foro di Verona.
